General Terms and Conditions (AGB)

  1. Scope and Validity

1.1 These General Terms and Conditions apply to all legal relationships and business transactions between Oleksii Morgunov (Morgunov Beratung), hereinafter referred to as "Morgunov Beratung," and its clients, hereinafter referred to as the "Client."

1.2 These terms are considered accepted if the Client does not object to them in writing within 3 business days of receipt. Any deviations from these conditions must be explicitly approved in writing by Morgunov Beratung.

1.3 These Terms and Conditions also apply to all future business transactions, even without explicit reconfirmation.

1.4 Morgunov Beratung provides IT consulting, product supervision, web and mobile app development services. Specific service details will be outlined in project proposals, briefings, and order confirmations.

  1. Contractual Agreements and Amendments

2.1 The contract basis comprises written project proposals, agreements, order confirmations, and client briefings. Verbal agreements must be confirmed in writing.

2.2 Any amendments or additions to contracts must be made in writing and may result in additional charges borne by the Client.

2.3 Meeting summaries sent by Morgunov Beratung are binding unless the Client objects in writing within two business days.

2.4 Orders become binding when confirmed in writing by Morgunov Beratung following the Client's written request.

2.5 Offers provided by Morgunov Beratung are non-binding and valid for 4 weeks from the offer date.

  1. Copyright and Usage Rights

3.1 Upon full payment, the Client acquires usage rights for the duration and extent agreed upon, but not ownership rights, for all works developed by Morgunov Beratung.

3.2 Unless otherwise agreed, only simple (non-exclusive) usage rights are granted within Germany. Morgunov Beratung retains the right to use created works for promotional purposes.

3.3 Any modifications or extended use of Morgunov Beratung's work by the Client require written consent and may involve additional fees.

  1. Remuneration and Payment Terms

4.1 Agreed remuneration applies according to the project agreement or order confirmation. Unless otherwise specified, the Client is required to make full prepayment of the total project fee upon contract initiation.

4.2 Morgunov Beratung may invoice interim payments for partial services rendered during ongoing projects.

4.3 Additional services beyond the initial scope (e.g., extra revisions, modifications, quality checks) will be billed separately at the current hourly rate of Morgunov Beratung.

4.4 Travel and other expenses incurred during project execution must be reimbursed by the Client.

4.5 Delays in execution caused solely by the Client may incur additional charges.

4.6 Cancellation fees apply if the Client withdraws from a project: 25% of total fees within three months of project start, 50% within four weeks, and 100% within two weeks.

  1. Client's Obligations

5.1 The Client must provide all necessary information, materials, and documents in a usable format without delay or additional costs.

5.2 The Client ensures compliance with applicable laws, including data protection, privacy, telecommunications, and competition regulations.

5.3 The Client bears responsibility for the accuracy of content once approved. Morgunov Beratung is not liable for content accuracy following Client approval.

  1. Warranty and Liability

6.1 Morgunov Beratung undertakes to provide professional and diligent services but cannot guarantee specific outcomes, particularly concerning market success or legal compliance of Client content.

6.2 Morgunov Beratung is not liable for indirect damages or losses incurred by the Client. Liability is limited to the fees paid for the specific project unless caused by gross negligence or intentional misconduct.

  1. Confidentiality and Data Protection

7.1 Both parties commit to confidentiality regarding business information and documents provided during project execution.

7.2 Client data will be processed in compliance with applicable data protection regulations (GDPR).

  1. Final Provisions

8.1 All disputes shall first seek resolution through negotiation or mediation before court proceedings.

8.2 German law applies exclusively, with Düsseldorf as the jurisdiction.

8.3 Should any provision herein become invalid, remaining provisions retain their validity, with invalid provisions replaced by legally valid ones that approximate original intentions.

By initiating business with Morgunov Beratung, the Client confirms acceptance and compliance with these General Terms and Conditions.
